'Ignition' and 'IGNTN' are trading names registered in the Global PPH. These Terms and Conditions ("Terms") govern your use of our services, including our website https://www.igntn.net/ (the "Website") and any other media form, channel, mobile website, or mobile application related, linked, or otherwise connected thereto. By subscribing to our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

2. Services and Subscriptions

Ignition offers strategy services:

  • Fractional CMO

As stated later, Ignition reserves the right to modify or discontinue any aspect of the Website or services at any time without notice, including these plans.

3. Intellectual Property Rights

Unless otherwise stated, the Website and all content and materials, including but not limited to text, graphics, website name, code, images, and logos, are the property of Ignition and are protected by applicable copyright and trademark law. Any unauthorized use of the content and materials is strictly prohibited.

4. Ownership of Deliverables

Upon full payment of any due amounts, all documents, and designs and original source files created for you (“Deliverables”) become your property. Ignition reserves the right to showcase the Deliverables in our portfolio unless agreed otherwise in writing. We may use your company's logo on our website and may publish work created for you as long as it is available publicly or specifically agreed upon with you beforehand.

5. User Representations

By using our Website and services, you represent and warrant that:

  • You have the legal capacity to enter into these Terms.
  • You will not use our Website or services for any illegal or unauthorized purpose.
  • Your use of the Website and services will not violate any applicable law or regulation.

6. Prohibited Activities

You agree not to engage in the following activities:

  • Unauthorized use of the Website.
  • Circumventing, disabling, or otherwise interfering with security-related features of the Website.
  • Using the Website to compete with Ignition.
  • Uploading or transmitting viruses, Trojan horses, or other malicious software.

7. Client Feedback

If any Deliverables incorporate third-party fonts or materials requiring a commercial license, you will be responsible for obtaining the necessary licenses. Ignition will notify you if any such third-party fonts or materials are used.

Ignition and its directors, employees, members, independent contractors, or agents shall not be liable to you or any third party for any direct, indirect, consequential, incidental, special, or punitive damages, including lost profit, lost revenue, lost data, attorneys’ fees, court costs, fines, forfeitures, or other damages or losses arising from your use of the Website. 

You agree to defend, indemnify, and hold harmless Ignition and its subsidiaries, affiliates, and all respective officers, members, agents, partners, employees, and independent contractors from and against any loss, damage, liability, claim, or demand including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the Website; (2) breach of these Terms; (3) any breach of your representations and warranties set forth herein; (4) your violation of the rights of any third party, including but not limited to intellectual property rights. 

Notwithstanding the foregoing, Ignition reserves the right, at your expense, to assume control and defense of any matter for which you shall be required to indemnify Ignition hereunder. You agree to cooperate with the defense of such claims.

16. User Data

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

17. Electronic Communications

By using the Website, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

18. Showcasing Design Work

Ignition reserves the right to showcase design work created for clients in our portfolio and marketing materials unless a specific Non-Disclosure Agreement (NDA) has been signed.

19. Referrals

In the case we implement a referral tracking and payout program, all referrals will be handled through our third-party partner, Rewardful.com.

20. Miscellaneous

These Terms constitute the entire agreement between you and Ignition regarding the use of the services. If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force and effect.

21. Changes to Deliverables and Deadlines

Any changes to deliverables and deadlines will be mutually agreed upon between you and Ignition. Both parties must consent to any modifications to the project scope or timelines.
